Pilot Program Terms

Plain English summary: These Pilot Program Terms supplement our main Terms of Service, which remain the master agreement. By joining the Nuvio One pilot, you get free access for up to 90 days to a product that is still actively evolving. We'll push updates regularly (with a week's notice), almost always overnight and with only a few seconds of unavailability at most. Either of us can end the pilot with 15 days' written notice. In exchange for free access, we ask for your feedback and that you keep early-access details confidential.

1. About These Terms

These Pilot Program Terms ("Pilot Terms") govern your participation in the Nuvio One pilot program (the "Pilot") operated by Nuvio Technologies LLC ("Nuvio", "we", "us"). The participant accepting these Pilot Terms is referred to as "you" or the "Pilot Participant".

These Pilot Terms are supplemental to, and incorporate by reference, the Nuvio One Terms of Service (the "Master Terms") and the Privacy Policy. The Master Terms remain the primary agreement between you and Nuvio. In the event of a conflict between these Pilot Terms and the Master Terms, these Pilot Terms control with respect to your participation in the Pilot; in all other respects, the Master Terms apply.

By requesting or using pilot access to Nuvio One, you confirm that you have read, understood, and agree to be bound by both these Pilot Terms and the Master Terms. If you are entering into these Pilot Terms on behalf of a business or organisation, you represent that you have authority to bind that entity.

2. Pilot Program Overview

The Pilot allows selected businesses to access and use Nuvio One on a limited, early-access basis so that we can validate the product in real-world use, gather structured feedback, and prepare the Service for general availability.

Pilot access may include features that are still under active development, not yet released to the general public, or available only to a subset of participants. We may add, modify, restrict, or remove features during the Pilot at our discretion.

Participation in the Pilot is offered by invitation or upon approval of a pilot request submitted via nuvione.com/nuvione-pilot.html. Submitting a request does not guarantee acceptance into the Pilot.

3. Eligibility

To participate in the Pilot you must:

  • Be at least 18 years old and legally able to enter into a binding agreement
  • Represent a legitimate business, organisation, or professional practice
  • Provide accurate registration details, including a valid work email address
  • Agree to provide feedback on your use of Nuvio One (see Section 9)
  • Comply with the Acceptable Use provisions of the Master Terms

We reserve the right to accept, decline, or revoke pilot participation at our sole discretion, including where we determine that an applicant is a competitor, that participation would create a conflict of interest, or that an applicant is unlikely to provide meaningful feedback.

4. Pilot Period

The Pilot will run for an initial period of up to ninety (90) calendar days from the date your pilot access is activated (the "Pilot Period"), unless extended in writing by Nuvio or terminated earlier in accordance with Section 15.

We may, at our discretion, offer to extend the Pilot Period by written notice (including by email). Any such extension will be on the same terms as these Pilot Terms unless we expressly agree otherwise in writing.

At the end of the Pilot Period, your access to Nuvio One will continue only if you transition to a paid plan or another arrangement as described in Section 16. Otherwise, your pilot access will end and these Pilot Terms will expire (save for any provisions that survive termination).

5. Pilot Fees

Access to Nuvio One during the Pilot Period is provided free of charge. No subscription, licence, or usage fees will be invoiced or charged for the standard Pilot scope.

You remain responsible for any costs incurred by you outside of Nuvio One, including but not limited to internet connectivity, third-party services you choose to integrate with Nuvio One, and any taxes that may be applicable to free services in your jurisdiction.

If, by mutual written agreement, the Pilot is extended to include paid features, additional support, custom development, or other services outside the standard Pilot scope, those will be billed separately under terms agreed at that time.

6. Beta Nature of the Service

Important — please read carefully: Nuvio One during the Pilot Period is a beta / pre-release product. It is provided to you for evaluation and feedback purposes. It may contain defects, incomplete functionality, performance issues, or other limitations that would not be acceptable in a generally available product.

You acknowledge and accept that:

  • Features may change, behave unexpectedly, or be removed during the Pilot
  • Data models, workflows, screens, and APIs are subject to change without backwards compatibility
  • Reports, dashboards, and AI-generated outputs may produce inaccurate or incomplete results and must be independently verified before being relied upon
  • You should not rely on Nuvio One during the Pilot as the sole system of record for business-critical operations, financial records, regulated data, or other irreplaceable information
  • You are responsible for maintaining your own independent backups of any data you consider important

7. Updates & Maintenance

Because Nuvio One is actively evolving during the Pilot, we will release updates frequently — often on a weekly cadence and sometimes more often.

7.1 Update Notice

For substantive updates that change behaviour, alter data structures, or temporarily affect availability, we will provide at least one (1) week's advance notice by email and/or in-app notification. Routine bug fixes, security patches, content updates, and minor changes may be deployed without advance notice.

7.2 Update Windows

Planned updates will normally be deployed during overnight hours (typically between 00:00 and 05:00 US Central Time) to minimise disruption. Where you and Nuvio operate in materially different time zones, we will make a reasonable effort to align with low-traffic windows for your business.

7.3 Brief Unavailability

During deployments, Nuvio One may be momentarily unavailable. We design deployments to keep this window as short as possible — typically only a few seconds, and ordinarily no more than two (2) minutes per deployment. You acknowledge that brief deployment windows are an expected and necessary part of the Pilot and do not constitute a breach of these Pilot Terms.

7.4 Emergency Maintenance

We may carry out unscheduled maintenance without prior notice where required to address a security vulnerability, prevent imminent harm, comply with a legal obligation, or restore the Service after an incident. We will inform pilot participants as soon as reasonably practicable after such maintenance.

8. Availability & Service Levels

While we will make commercially reasonable efforts to keep Nuvio One available and performant during the Pilot, no service level agreement (SLA), uptime commitment, or availability guarantee applies during the Pilot Period. Section 11 (Availability & Uptime) of the Master Terms is modified accordingly for the duration of the Pilot.

We will, however, treat material outages seriously, investigate root causes, and provide pilot participants with a brief written update on the cause and resolution where downtime materially impacts your use of the Service.

9. Feedback

As consideration for your free pilot access, you agree to provide reasonable, good-faith feedback on your experience with Nuvio One. Feedback may be requested via:

  • Periodic short surveys (typically 5–10 minutes)
  • Scheduled feedback calls or interviews (typically 30–45 minutes, at mutually convenient times)
  • Bug reports and feature requests submitted through in-product channels or by email
  • Informal feedback during onboarding and support interactions

You grant Nuvio Technologies LLC a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, and incorporate any feedback, ideas, suggestions, or recommendations you provide into Nuvio One or any other Nuvio product or service, without any obligation of compensation, attribution, or confidentiality to you.

Feedback you provide will be deemed non-confidential to you. You should not include in your feedback any information that you wish to keep confidential or that is subject to third-party confidentiality obligations.

10. Confidentiality

During the Pilot you may receive access to information about Nuvio One that is not publicly available, including unreleased features, product roadmaps, pricing under discussion, performance characteristics, screenshots of pre-release interfaces, and the details of issues or defects ("Pilot Confidential Information").

You agree to:

  • Treat Pilot Confidential Information with at least the same degree of care that you use to protect your own confidential information of similar importance, and in any event with reasonable care
  • Use Pilot Confidential Information solely for the purpose of evaluating and using Nuvio One under these Pilot Terms
  • Not disclose Pilot Confidential Information to any third party, except to your employees, contractors, or professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in these Pilot Terms
  • Not publish screenshots, recordings, performance benchmarks, or reviews of pre-release functionality without our prior written consent

These confidentiality obligations do not apply to information that is or becomes publicly available through no fault of yours, was already known to you free of any confidentiality obligation, is independently developed by you without reference to Pilot Confidential Information, or is rightfully received from a third party not under a confidentiality obligation. You may also disclose Pilot Confidential Information if required by law, provided you give Nuvio prompt notice (where lawful) and reasonable cooperation in any effort to limit the disclosure.

The confidentiality obligations in this Section 10 survive termination or expiration of the Pilot for a period of two (2) years.

11. Your Data During the Pilot

You retain ownership of all data and content you submit to Nuvio One during the Pilot, on the same terms as Section 6 of the Master Terms.

Because the Service is in a pre-release state, we particularly draw your attention to the following points:

  • You should avoid uploading data that is highly sensitive, irreplaceable, or subject to special regulatory regimes (e.g. payment card data, health data regulated under HIPAA, government ID numbers) unless we have separately agreed in writing that the Pilot is suitable for such data
  • You are responsible for maintaining independent backups of any data you consider important
  • Data export is available throughout the Pilot in CSV, JSON, and PDF formats via Settings → Export
  • If you do not transition to a paid plan at the end of the Pilot, your data will be retained for 30 days after the end of the Pilot Period to allow export, and then permanently deleted in line with the Master Terms and Privacy Policy

12. Pilot Support

During the Pilot we provide best-effort support via email at [email protected] and through any in-product support channels we make available. Where reasonable, we will respond to non-urgent enquiries within two (2) business days.

This support level is provided for the Pilot only and does not represent a contractual SLA. Support hours, response times, and channels may change. Nothing in this Section creates a guaranteed support obligation.

13. Disclaimers & Warranties

Important: The Pilot is provided on an "as is" and "as available" basis, with all faults and without warranty of any kind.

To the maximum extent permitted by applicable law, Nuvio Technologies LLC and its suppliers disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.

Without limiting the generality of the foregoing, Nuvio does not warrant that the Service during the Pilot will meet your requirements, that operation will be uninterrupted or error-free, that defects will be corrected within any particular timeframe, or that AI-generated outputs, reports, or dashboards will be accurate, complete, or suitable for any particular purpose.

This Section supplements, and where in conflict supersedes for the duration of the Pilot, any contrary warranty language in the Master Terms.

14. Limitation of Liability

Important: Because the Pilot is provided free of charge and on a beta basis, our liability to you for the Pilot is materially limited. Please read this section carefully.

To the maximum extent permitted by applicable law, in no event shall Nuvio Technologies LLC or its officers, employees, agents, or suppliers be liable to you, in connection with your participation in the Pilot, for:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages
  • Loss of profits, revenue, business, anticipated savings, data, goodwill, or business interruption
  • Damages resulting from your reliance on pre-release features or AI-generated outputs
  • Damages resulting from any third-party conduct or content

The total aggregate liability of Nuvio Technologies LLC to you for all claims arising out of or relating to the Pilot, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of (a) one hundred US dollars (US$100) and (b) the total amount you have actually paid to Nuvio under the Pilot in the twelve (12) months preceding the claim.

Section 12 (Limitation of Liability) of the Master Terms is modified accordingly for the duration of the Pilot. Where you transition to a paid plan after the Pilot, the standard Master Terms cap applies going forward to claims arising from the paid Service.

Some jurisdictions do not allow limitations of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

15. Termination of Pilot

15.1 Termination for Convenience

Either you or Nuvio may terminate your participation in the Pilot at any time, for any reason or no reason, by giving the other party at least fifteen (15) calendar days' prior written notice. Notice from you should be sent to [email protected]; notice from us will be sent to the email address on your pilot account.

15.2 Termination for Cause

Notwithstanding Section 15.1, Nuvio may suspend or terminate your pilot access immediately, with or without notice, if:

  • You materially breach these Pilot Terms or the Master Terms (including the Acceptable Use provisions)
  • Your use creates a security, legal, or reputational risk to Nuvio, the Service, or other users
  • We are required to do so by law or regulatory authority
  • The Pilot Program as a whole is discontinued

15.3 Effect of Termination

Upon termination or expiration of the Pilot, your right to access Nuvio One under these Pilot Terms ends. Your data will be retained for 30 days following the end of the Pilot to allow export, after which it will be permanently deleted, unless you have transitioned to a paid plan or otherwise instructed us in writing.

Sections 9 (Feedback), 10 (Confidentiality), 13 (Disclaimers), 14 (Limitation of Liability), 17 (Publicity), and 19 (Contact) survive termination, along with any other provision that by its nature is intended to survive.

16. Transition After Pilot

Before the end of the Pilot Period we will contact you with information about transitioning to a paid plan. If you elect to subscribe, your account, data, and configuration will be retained and the Master Terms (without the modifications in these Pilot Terms) will govern your ongoing use of Nuvio One from the date your paid subscription begins.

If you do not elect to subscribe, your pilot access will end and the data retention and deletion provisions in Section 15.3 will apply. You are under no obligation to subscribe at the end of the Pilot.

17. Publicity

Neither party will issue press releases or other public statements naming the other party in connection with the Pilot without that party's prior written consent. With your prior written consent (which may be given by email), Nuvio may identify you as a pilot participant and quote feedback you have provided in marketing materials. Consent given for one use does not extend to other uses without further consent.

18. Changes to These Pilot Terms

We may update these Pilot Terms from time to time during the Pilot. Where changes are material, we will notify you by email at least seven (7) days before the changes take effect. Your continued participation in the Pilot after the effective date constitutes acceptance of the revised Pilot Terms. If you do not agree to the revised Pilot Terms, you may terminate your participation under Section 15.1, and the unchanged Pilot Terms will continue to apply until termination takes effect.
